Terms of Use
These Terms of Use ("Terms") govern your access to and use of the websites, platforms, and services provided by Arion Networks ("we," "our," or "us"), including ArionComply, A5EP, EIP, LabGuide, and related consulting services.
By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our services.
1. Definitions
- "Services" means all websites, platforms, software, applications, and services provided by Arion Networks
- "Customer" or "you" means the individual or entity accessing or using our Services
- "Customer Data" means any data, content, or information you provide or upload to our Services
- "Agreement" means these Terms together with any separate service agreements or order forms
2. Acceptance and Modification
By creating an account, accessing our Services, or clicking "I Accept," you confirm that:
- You have read, understood, and agree to these Terms
- You have the authority to bind your organization to these Terms
- You are at least 18 years old
- Your use of the Services complies with all applicable laws
We reserve the right to modify these Terms at any time. Material changes will be communicated through our Services or via email. Continued use after changes constitutes acceptance of the modified Terms.
3. Account Registration and Security
To use certain Services, you must create an account. You agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Maintain the security and confidentiality of your credentials
- Notify us immediately of any unauthorized access
- Accept responsibility for all activities under your account
We reserve the right to suspend or terminate accounts that violate these Terms or pose security risks.
4. Service-Specific Terms
4.1 ArionComply (Compliance Platform)
When using ArionComply, you acknowledge that:
- The platform provides automation tools to assist with compliance management
- We do not provide legal or compliance advice
- You are solely responsible for your compliance with applicable laws and regulations
- The platform's recommendations are guidance only and may require customization
- Final compliance decisions and implementations are your responsibility
- We make no guarantee that use of the platform ensures regulatory compliance
4.2 A5EP (5G Network Platform)
When using A5EP, you acknowledge that:
- You are responsible for your network configuration and operations
- You must comply with all telecommunications regulations in your jurisdiction
- You are responsible for obtaining necessary licenses and spectrum rights
- Network performance depends on factors outside our control
- You must implement appropriate security measures for your network
4.3 EIP (Innovation Platform)
When using EIP, you acknowledge that:
- You retain all ownership rights to your code and projects
- You are responsible for the code and applications you develop
- Lab environments are for testing purposes and may be reset
- You must back up your work regularly
- We are not responsible for code quality, security, or functionality
4.4 LabGuide (Training Services)
When using LabGuide training services, you acknowledge that:
- Training content is for educational purposes only
- Course completion does not guarantee certification unless explicitly stated
- Lab environments are shared resources with acceptable use policies
- Training schedules and instructors may change due to circumstances beyond our control
- Refund policies are specified in your enrollment agreement
Training Materials and Courseware Intellectual Property
All training materials, courseware, lab guides, exercises, videos, presentations, documentation, and related content ("Training Materials") are proprietary and confidential. You agree that:
- Ownership: All Training Materials are owned by Arion Networks or our licensors and protected by copyright, trademark, and trade secret laws
- Limited License: You receive a limited, non-exclusive, non-transferable license to access Training Materials solely for your personal educational use during the training period
- Prohibited Actions: You may not:
- Copy, reproduce, distribute, or share Training Materials with anyone outside your enrolled participants
- Record, screenshot, or capture Training Materials in any form without explicit written permission
- Modify, create derivative works, or reverse engineer Training Materials
- Use Training Materials to create competing training programs or courses
- Remove or obscure any copyright, trademark, or proprietary notices
- Upload Training Materials to public repositories, file-sharing sites, or social media
- Post-Training: Access to Training Materials expires 90 days after course completion unless otherwise specified in your enrollment agreement
- Certification Marks: Any certifications, badges, or marks earned are licensed for personal professional use only and subject to separate terms
Training Development and Custom Content
For customers engaging us for custom training development:
- Custom Content Ownership: Unless otherwise specified in a separate written agreement, all custom Training Materials developed by Arion Networks remain our intellectual property
- Licensed Use: You receive a perpetual, non-exclusive license to use custom Training Materials internally within your organization
- Restrictions: Custom Training Materials may not be resold, sublicensed, or used to provide training services to third parties without explicit written permission and appropriate licensing fees
- Feedback and Improvements: We retain the right to use general concepts, techniques, and methodologies learned during custom development for other customers, provided we do not disclose your confidential information
5. Acceptable Use Policy
You agree NOT to:
- Violate any applicable laws, regulations, or third-party rights
- Use the Services for any illegal or unauthorized purpose
- Interfere with or disrupt the Services or servers
- Attempt to gain unauthorized access to any systems or data
- Reverse engineer, decompile, or disassemble any software
- Remove or obscure any proprietary notices
- Use the Services to transmit malware, spam, or harmful content
- Impersonate any person or entity or misrepresent your affiliation
- Collect or harvest information about other users without consent
- Use the Services in any way that could harm minors
- Resell, sublicense, or redistribute the Services without authorization
- Use automated systems (bots, scrapers) without explicit permission
6. Customer Data and Intellectual Property
6.1 Your Data
You retain all ownership rights to your Customer Data. By using our Services, you grant us a limited license to:
- Host, store, and process your data to provide the Services
- Create backups and ensure data availability
- Generate anonymized analytics to improve service quality
We will not:
- Sell your Customer Data
- Use your Customer Data to benefit competitors
- Disclose your Customer Data except as required by law or authorized by you
6.2 Our Intellectual Property
The Services, including all software, platforms, algorithms, designs, text, graphics, logos, trademarks, methodologies, processes, and know-how, are owned by Arion Networks and protected by intellectual property laws including copyright, trademark, patent, and trade secret laws.
Software and Platform IP Protection
Our software, including ArionComply, A5EP, EIP, and all associated platforms, is proprietary. You agree that you will NOT:
- Reverse Engineering: Reverse engineer, decompile, disassemble, or attempt to derive source code from our software
- Circumvention: Bypass, disable, or circumvent any security features, licensing mechanisms, or usage restrictions
- Copying: Copy, reproduce, or duplicate any part of the Services except as expressly permitted
- Modification: Modify, adapt, translate, or create derivative works based on the Services
- Extraction: Extract, scrape, or harvest data or content using automated means without written permission
- Competitive Use: Use the Services to build competing products or services
- Benchmarking: Conduct or publish performance benchmarks without prior written consent
- Transfer: Sell, rent, lease, sublicense, redistribute, or transfer access to the Services
Trademarks and Branding
The following are trademarks or service marks of Arion Networks:
- Arion Networks®
- ArionComply®
- A5EP® (Autonomous 5G Enterprise Platform)
- EIP® (Enterprise Innovation Platform)
- LabGuide®
- Associated logos, designs, and trade dress
You may not use our trademarks or branding without explicit written permission. Unauthorized use may result in legal action.
Methodologies and Processes
Our proprietary methodologies, frameworks, processes, and approaches used in our Services and consulting engagements are trade secrets and confidential information. This includes:
- ArionComply: Compliance automation frameworks, control mapping algorithms, gap analysis methodologies
- A5EP: Network optimization algorithms, autonomous management processes
- EIP: Workflow creation methodologies, testing frameworks, deployment processes
- LabGuide: Training curricula, lab design methodologies, instructional approaches
- Consulting: Analysis frameworks, solution architectures, implementation methodologies
You may not document, publish, teach, or commercialize our methodologies without a separate licensing agreement.
Patents and Algorithms
Certain aspects of our Services may be covered by issued or pending patents. Use of the Services does not grant you any patent rights or licenses except as necessary to use the Services as intended.
Open Source Software
Our Services may incorporate open source software components. Such components are licensed under their respective open source licenses, which take precedence over these Terms for those specific components. We will make available the required notices and source code as required by applicable open source licenses.
7. Service Availability and Support
We strive to maintain high service availability but do not guarantee uninterrupted access. We reserve the right to:
- Perform scheduled maintenance with reasonable notice
- Suspend Services for emergency maintenance or security issues
- Modify or discontinue features with reasonable notice
Service Level Agreements (SLAs), if applicable, are specified in separate service agreements.
8. Fees and Payment
Certain Services require payment of fees. You agree to:
- Pay all fees according to the pricing in effect when charges are incurred
- Provide current, complete, and accurate billing information
- Pay all applicable taxes
- Notify us of any billing disputes within 60 days
We reserve the right to:
- Change pricing with 30 days' notice
- Suspend Services for non-payment after reasonable notice
- Charge interest on overdue amounts at the lesser of 1.5% per month or the maximum legal rate
9. Term and Termination
9.1 Term
These Terms begin when you first access the Services and continue until terminated.
9.2 Termination by You
You may terminate your account at any time by following the account closure process. Termination does not relieve you of payment obligations for services already rendered.
9.3 Termination by Us
We may suspend or terminate your access immediately if:
- You violate these Terms or applicable laws
- Your account poses a security risk
- You fail to pay fees when due
- We are required to do so by law
9.4 Effect of Termination
Upon termination:
- Your right to access the Services immediately ceases
- We may delete your Customer Data after a reasonable grace period (typically 30 days)
- Sections that by nature should survive (liability limitations, dispute resolution) remain in effect
- You remain responsible for any outstanding fees
IMPORTANT: Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- Disclaimer of Warranties: THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
- No Compliance Guarantee: WE DO NOT WARRANT THAT USE OF OUR SERVICES WILL RESULT IN REGULATORY COMPLIANCE, CERTIFICATION, OR AUDIT SUCCESS.
- No Legal Advice: WE DO NOT PROVIDE LEGAL, COMPLIANCE, OR REGULATORY ADVICE.
- Limitation of Liability: WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY.
- Liability Cap: OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICES SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO US IN THE 12 MONTHS PRECEDING THE CLAIM.
11. Indemnification
You agree to indemnify, defend, and hold harmless Arion Networks, its affiliates, and their respective officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from:
- Your use of the Services
- Your violation of these Terms
- Your violation of any law or regulation
- Your Customer Data or activities
- Your infringement of third-party rights
12. Dispute Resolution
12.1 Informal Resolution
Before initiating formal proceedings, you agree to contact us at info@arionetworks.com to seek informal resolution.
12.2 Governing Law
These Terms are governed by the laws of [Jurisdiction], without regard to conflict of law principles.
12.3 Arbitration
Any disputes not resolved informally shall be resolved through binding arbitration in accordance with [Arbitration Rules], except that either party may seek injunctive relief in court for intellectual property infringement or misuse of confidential information.

13.4 Assignment
You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
13.5 Force Majeure
Neither party is liable for failure to perform due to causes beyond reasonable control, including natural disasters, war, terrorism, labor disputes, or government actions.
13.6 Export Compliance
You agree to comply with all applicable export control laws and regulations.
13.7 Government Users
If you are a U.S. government entity, the Services are "Commercial Items" as defined in FAR 2.101, and use is governed by these Terms.
